The application for registration in the trade register and authorization of the branch's operation is submitted to the trade register office attached to the court in whose territorial area the applicant establishes its registered office, directly at the counter, by mail, or online through the ONRC online services portal myportal.onrc.ro. The formalities related to registration are available on the ONRC website https://www.onrc.ro/index.php/ro/inmatriculari/persoane-juridice-sucursale.
The registration of the branch in the trade register is made based on the motivated conclusion of the trade register registrar. According to art. 112 paragraphs (1) and (2) of Law no. 265/2022 regarding the trade register and for the amendment and completion of other normative acts with an impact on registration in the trade register, "(1) Against the registrar's conclusion pronounced according to art. 108 or, as the case may be, according to art. 110, the applicant may file a complaint within 10 calendar days from the communication of the conclusion, if they have requested notification by the methods provided in art. 111 paragraph (1) letters b) and c). In these cases, the applicant may also file a complaint from the date of publication of the conclusion in the Bulletin, if this is prior to the notification.
(2) In the case provided in art. 111 paragraph (1) letter a), if the conclusion is not collected from the counter within the deadline for releasing the documentation, the applicant may file a complaint within 10 days from the date of publication of the conclusion in the Bulletin.”
The complaint shall be submitted, in the case of legal entities, to the trade register office, which will record it in the trade register and communicate it to the court/specialized court within three working days from the date of submission.
*(2) In the case provided in art. 111 paragraph (1) letter a), if the conclusion is not collected from the counter within the deadline for releasing the documentation, the applicant may file a complaint within 10 days from the date of publication of the conclusion in the Bulletin.”
