The Application for registration in the trade register and the application for authorization of the legal person (Limited Liability Company, etc.) shall be submitted to the Trade Register attached to the court of the county where the applicant establishes its headquarter (directly at the counter, through correspondence or by the online services portal http://portal.onrc.ro); the specific formalities are in the reservation guide for the legal person. According to art. 112 paragraphs (1) and (2) of Law no. 265/2022 regarding the trade register and for the amendment and completion of other normative acts affecting registration in the trade register, “(1)Against the registrar’s decision pronounced according to art. 108 or, as applicable, according to art. 110, the applicant may file a complaint within 10 calendar days from the communication of the decision, if the communication was requested by the methods provided in art. 111 paragraph (1) letters b) and c). In these cases, the applicant may also file a complaint starting from the date the decision is published in the Bulletin, if this precedes the communication.
(2)In the case provided in art. 111 paragraph (1) letter a), if the decision is not collected from the counter within the documentation release period, the applicant may file a complaint within 10 days from the date the decision is published in the Bulletin.”
The complaint is submitted, in the case of legal entities, to the trade register office, which will record it in the trade register and communicate it to the court/specialized court within three working days from the date of submission.
